The takeover notice relates to Prime Infrastructure NZ's intention to make a full offer under the Takeovers Code to purchase all the ordinary shares in Powerco and the unsecured subordinated capital bonds issued by Powerco.

In accordance with the Takeovers Code, Powerco has appointed Grant Samuel & Associates to prepare an independent adviser's report on the merits of the offer. The appointment of Grant Samuel as independent adviser has been approved by the Takeovers Panel. Powerco, in accordance with its obligations under the Takeovers Code, will be forwarding to shareholders and holders of the capital bonds the target company statement and the independent adviser's report relating to the offer when these documents are prepared.
